Terms of Service

These Terms govern your access to and use of WhatsOrder, including merchant accounts, online storefronts, subscriptions, order-management tools, and related services.

1. Agreement to these Terms

These Terms of Service ("Terms") form an agreement between you and WhatsOrder ("WhatsOrder", "we", "us", or "our") regarding your use of www.whatsorders.com.ng and related WhatsOrder services.

By creating an account, purchasing a subscription, publishing a storefront, or otherwise using WhatsOrder, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use the service.

2. Eligibility and Accounts

You must be legally capable of entering into a binding agreement and operating the business or activity for which you use WhatsOrder.

You are responsible for:

  • Providing accurate account and business information.
  • Keeping your login credentials secure.
  • All activity carried out through your account unless caused by a security failure attributable to WhatsOrder.
  • Promptly notifying us if you suspect unauthorised access to your account.

You may not impersonate another person or business or use information that you are not authorised to use.

3. The WhatsOrder Service

WhatsOrder provides tools that may allow merchants to:

  • Create and publish online storefronts.
  • Add and manage products, prices, stock, branding, and delivery information.
  • Receive and manage customer orders.
  • Send or receive order communications through WhatsApp.
  • Manage customer records, analytics, subscriptions, and related business information.

Features may differ depending on your subscription plan, account status, location, service availability, or product updates.

4. Merchant Responsibilities

WhatsOrder provides software tools. The merchant remains responsible for the business operated through the merchant's storefront.

Merchants are responsible for:

  • The accuracy of product descriptions, prices, stock levels, images, delivery information, and other store content.
  • Fulfilling accepted customer orders.
  • Communicating delivery times, returns, refunds, warranties, and other customer-facing policies.
  • Complying with applicable consumer protection, tax, licensing, privacy, advertising, and commercial laws.
  • Handling customer complaints and disputes relating to the merchant's products or services.
  • Ensuring that products and services offered through the storefront are lawful and permitted.
WhatsOrder is not the seller of a merchant's products or services unless we expressly state otherwise.

5. Customer Orders

A customer order placed through a merchant storefront is generally an interaction between the customer and that merchant.

Merchants are responsible for confirming, accepting, rejecting, preparing, delivering, cancelling, or refunding customer orders in accordance with their own policies and applicable law.

WhatsOrder may provide tools that help transmit or manage order information, but we do not guarantee that a customer will complete a purchase or that a merchant will fulfil an order.

6. Plans, Billing, and Payments

WhatsOrder may offer free and paid subscription plans. Features, limits, prices, and billing periods are shown on the relevant pricing or billing page.

By purchasing a paid plan, you authorise the applicable payment provider to process the amount displayed at checkout. Payments may be processed through third-party providers such as Paystack.

Your subscription access may depend on successful payment, verification, and the continued availability of the selected plan.

Unless otherwise stated, fees are charged in the currency displayed at checkout. Taxes or other charges may apply where required.

Refund eligibility, where applicable, is governed by the WhatsOrder Refund Policy and applicable law.

7. Acceptable Use

You may not use WhatsOrder to:

  • Violate applicable law or another person's rights.
  • Sell, promote, or facilitate illegal goods or services.
  • Engage in fraud, deception, phishing, impersonation, or misleading commercial activity.
  • Upload malicious code or attempt to interfere with, disrupt, reverse engineer, or gain unauthorised access to the service or another user's account.
  • Send unlawful spam or abusive communications.
  • Upload content that infringes intellectual property, privacy, publicity, or other rights.
  • Use the service in a way that creates unreasonable load, security risk, or harm to WhatsOrder or other users.

We may investigate suspected violations and may restrict or suspend access where reasonably necessary to protect users, the service, or comply with law.

8. Merchant Content and Intellectual Property

Merchants retain ownership of content they lawfully provide to WhatsOrder, including business names, product information, images, logos, and other merchant materials.

You grant WhatsOrder a non-exclusive licence to host, copy, process, display, and transmit your content only as reasonably necessary to provide, secure, support, and improve the service.

You represent that you have the rights and permissions necessary to upload and use the content you provide.

WhatsOrder and its original software, branding, interface, design, documentation, and related materials remain protected by applicable intellectual-property rights.

9. Third-Party Services

WhatsOrder may integrate with or link to third-party services such as WhatsApp, payment processors, email providers, hosting services, or other technology providers.

Third-party services are governed by their own terms, policies, availability, and security practices. We are not responsible for a third party's independent acts or failures.

10. Service Availability and Changes

We aim to provide a reliable service, but we do not guarantee uninterrupted or error-free availability.

WhatsOrder may occasionally be unavailable because of maintenance, upgrades, technical failures, internet or infrastructure problems, third-party outages, security events, or circumstances outside our reasonable control.

We may add, modify, replace, or discontinue features where reasonably necessary. Where a material change significantly affects a paid service, we may provide notice where practical.

11. Suspension and Termination

You may stop using WhatsOrder at any time. Account closure, subscription cancellation, or data-retention consequences may depend on the features available within your account and applicable retention requirements.

We may suspend, restrict, or terminate access where reasonably necessary because of:

  • Material or repeated violation of these Terms.
  • Fraud, abuse, unlawful activity, or security risk.
  • Non-payment of applicable subscription fees.
  • A legal, regulatory, or valid governmental requirement.
  • Conduct that threatens WhatsOrder, its infrastructure, or other users.

Where appropriate and lawful, we may provide notice or an opportunity to resolve the issue before termination.

12. Disclaimers

WhatsOrder is provided on an "as available" basis. To the extent permitted by applicable law, we do not make guarantees that the service will always be uninterrupted, error-free, or suitable for every business purpose.

We do not guarantee merchant sales, revenue, customer demand, delivery outcomes, payment approval, or the performance of third-party services.

Nothing in these Terms excludes any warranty, guarantee, or consumer right that cannot lawfully be excluded.

13. Limitation of Liability

To the extent permitted by applicable law, WhatsOrder will not be liable for indirect, incidental, special, consequential, or punitive losses arising from use of the service, including loss of profits, revenue, business opportunity, goodwill, or data, where such loss was not directly caused by our breach of an obligation that cannot lawfully be limited.

Nothing in these Terms limits liability where limitation is prohibited by applicable law.

14. Indemnity

To the extent permitted by law, you agree to be responsible for claims, losses, or reasonable costs resulting from your unlawful use of WhatsOrder, your merchant content, your products or services, or your material breach of these Terms.

This section does not require you to indemnify WhatsOrder for losses caused by WhatsOrder's own unlawful conduct.

15. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, subject to any mandatory rights or protections that apply under applicable law.

Before starting formal proceedings, we encourage users to contact us so we can attempt to resolve the issue in good faith.

16. Changes to these Terms

We may update these Terms from time to time to reflect changes to WhatsOrder, our business, technology, or applicable legal requirements.

Where changes are material, we may provide notice through the service or by updating the "Last updated" date on this page. Continued use of the service after updated Terms take effect constitutes acceptance to the extent permitted by law.
